Deep Sail Capital Partners LP on Innovative Aerosystems

Thesis

Deep Sail believes Innovative Aerosystems is transforming from a small avionics supplier into a diversified, high-margin aerospace systems platform. It buys neglected product lines from large suppliers, inherits installed aircraft fleets with costly certification-driven switching barriers, and uses common manufacturing infrastructure to improve incremental economics. Revenues and EBITDA have grown strongly, and the aging aircraft fleet provides long-lived aftermarket cash flow. The new Liberty Flight Deck opens an organic avenue in integrated avionics and next-generation aircraft, with an initial Japanese eVTOL win providing validation. Additional product-line acquisitions and Aydin integration could extend the platform, while the roughly 12-times estimated fiscal 2027 EBITDA valuation does not, in the manager's view, reflect its potential. Management aims over time to reach $250 million in sales with 25%-30% adjusted EBITDA margins.

“IA fits the Deep Sail framework particularly well because there are multiple ways to win”

Key risks

  • Lockheed Martin accounted for 36% of fiscal 2025 revenue and individual programs can create lumpy earnings.
  • Integrating Aydin, the first entire-company acquisition, is described as the largest investment risk.
  • F-16 program comparisons temporarily suppressed reported growth and future program timing could remain uneven.
  • Liberty customer awards, certification and commercialization may be slower than anticipated.
