River Oaks Capital on FFB Bank

Thesis

FFB is a community bank with a differentiated combination of high-touch commercial banking and payments processing that generates meaningful non-interest income. Its relationship-banking model has helped loans and deposits expand substantially, while payment-processing relationships provide a large base of non-interest-bearing deposits. Current earnings are depressed by a regulatory consent order, but River Oaks believes earnings could revert toward $25-$30 million of free cash flow to equity if the order is lifted, while book value and earnings continue compounding at 10-15% or more annually. Further upside could come from expansion across underserved California markets, growth in sponsor banking and the in-house FFB Payments operation, while insider ownership and an active share repurchase program provide additional alignment.

I expect continued gains in non-interest-bearing deposits, expanded lending capacity across underserved areas of California, and growth in non-interest income as FFB scales its sponsor bank and in-house ISO businesses.

Key risks

  • FFB cannot onboard new ISOs until the FDIC confirms that its enhanced oversight framework is functioning.
  • The consent order reduced sponsor-bank relationships and cost approximately $5 million of revenue and $100-$150 million of non-interest-bearing deposits.
