RV Capital AG - Business Owner Fund on Constellation Software Inc.

Thesis

RV Capital made a new investment in Constellation Software, a serial acquirer of vertical market software businesses whose products are mission-critical and deeply embedded in customer workflows. The fund argues that these businesses have recurring revenue, high margins, strong switching costs and attractive unit economics, while Constellation can redeploy their cash flows through a highly decentralized acquisition engine. Management is viewed as strongly aligned with shareholders through a culture of ownership, disciplined acquisition hurdles and conservative cash-flow metrics. AI-related pessimism pushed the shares to roughly 18 times current-year cash flow available to shareholders, well below the historical 30-40 times range, creating what the fund sees as an unusually attractive entry point. Assuming modest organic growth and continued disciplined reinvestment, RV Capital believes annual owner returns can comfortably exceed 15% without requiring multiple expansion.

I believe this pessimism creates a rare opportunity to buy a proven compounder at a discount.

Key risks

  • AI could erode the value or pricing power of vertical market software, including through new coding tools or changes to seat-based billing models.
  • As Constellation grows, it could eventually run out of sufficiently attractive acquisition targets and face a weaker reinvestment runway.
  • Founder Mark Leonard's departure creates leadership and succession risk, even though the fund argues the decentralized structure reduces dependence on one person.
